The full legal terms below are what actually binds us both, but they say the same thing in more words.


1. Agreement to Terms

This End User Licence Agreement ("EULA") is a legal agreement between you ("Licensee", "you", "your") and Perfect Paradox Ltd for the use of OrthoFrame, including the application, documentation, licence keys, and updates we provide (collectively, the "Software").

By installing, copying, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software — and if you purchased a licence within the last 14 days, you can request a refund (see our Terms of Sale).

This EULA should be read alongside our Terms of Sale and Privacy Policy, available at https://perfectparadox.co.uk.


2. What OrthoFrame Is — and Is Not

OrthoFrame is a native macOS productivity tool that helps orthodontic and dental professionals organise clinical photography — sorting patient photographs into ABO-style record sheets and managing a local photo library.

OrthoFrame is not a medical device. It performs no diagnosis, no measurement, no cephalometric or clinical analysis, and makes no treatment recommendations. Its on-device AI classifies and sorts photographs into views; it does not interpret them clinically. All clinical judgement, diagnosis, and treatment decisions remain entirely the responsibility of the treating clinician. See Section 9.


3. Licence Grant

3.1 What You Get

Subject to this EULA and payment of the applicable one-time purchase price (Normal $99 USD or Pro $179 USD), we grant you a perpetual, non-exclusive, non-transferable licence to:

(a) Install and use the Software on the Macs that you own or control for your personal or internal business use; (b) Make backup copies of the Software for your own archival purposes; (c) Receive and install updates released for your purchased tier during your included one-year update period, in accordance with Section 8.

Your licence is a one-time purchase, not a subscription. Once purchased, your right to use the Software is perpetual — it does not expire, does not renew, and you will never be charged again for the version you bought. The licence is yours forever, as described in Section 3.5.

3.2 Free Trial

Before purchasing, you may use the Software free of charge for a trial period of 14 days from first launch. The trial unlocks every feature (including Pro features) and requires no payment card. When the trial ends, the Software automatically continues at the Normal tier with Normal-tier features, unless you enter a valid licence key. The trial is for evaluation only. Resetting, extending, or circumventing the trial mechanism is a breach of this EULA.

3.3 Tiers and Upgrades

The Software is offered in two tiers: Normal ($99 one-time) and Pro ($179 one-time). Pro unlocks additional features (including encrypted library backup, as described in Section 6). You may upgrade from Normal to Pro at any time by paying the $80 difference as a one-time payment; the upgraded licence is likewise perpetual.

3.4 Licence Keys and Included Updates

Licences are delivered as an offline licence key bound to the Software. The key carries no expiry date — it is perpetual. Your purchase includes one year of updates for your tier from the date of purchase. After that year, the Software continues to work in full and forever; you simply stop receiving new versions. There is no renewal, no recurring charge, and no further action required of you to keep using the Software. Should we ever offer a future major upgrade, it will be an entirely optional, separate one-time purchase.

3.5 Your Licence Is Perpetual

Your licence does not expire. Because it is a perpetual, one-time purchase rather than a subscription:

We will never use the passage of time, or the end of your update period, as a means to deny you access to the Software you purchased or to data that lives on your own Mac.

3.6 Seats and Transfers

One licence is for a single user. You may use the Software on the Macs that you personally own or control. Activation transmits the licence key together with a per-Mac activation identifier to validate your licence (see Section 5). You may not transfer, share, or resell your licence or licence key to another person or entity without our prior written consent. 4. Licence Restrictions

You may not:

(a) Copy or distribute the Software or licence keys to third parties; (b) Rent, lease, lend, sell, sublicence, or resell the Software or your licence; (c) Reverse engineer, decompile, or disassemble the Software, except to the extent expressly permitted by the Copyright, Designs and Patents Act 1988 (sections 50A, 50B, and 50BA) or other applicable law that cannot be contractually excluded; (d) Modify, adapt, or create derivative works based on the Software; (e) Remove or alter any proprietary notices, labels, or marks in the Software; (f) Circumvent the trial period, tier gating, licence validation, or any technical protection measures; (g) Share licence keys publicly or use keys obtained from unauthorised sources; (h) Use the Software in any manner that violates applicable law, including data protection law.


5. Privacy, Local Operation, and Patient Data

5.1 Everything Stays on Your Mac

The Software runs entirely locally on your Mac. Patient photographs, the library, and all activity never leave your computer. The AI photo-classification runs on-device. Perfect Paradox operates no server that receives your data or your patients' data; there is no analytics SDK, no telemetry, and no tracking of any kind. This can be independently verified with an outbound-firewall tool such as Little Snitch or LuLu.

5.2 Network Connections the Software Makes

Your licence is validated entirely offline on your Mac using a cryptographic signature; the Software does not contact us, our payment provider, or any server to activate or check your licence, and transmits nothing when you enter your key. In normal use the Software makes no outbound network connection at all. The only connection it can ever make is optional and user-initiated: if you choose to check for updates, it contacts our update server for version information only (App version, macOS version, CPU type) — never your licence key, personal data, or patient data. Automatic update checks are disabled by default. The Software is fully usable offline.

5.3 You Are the Data Controller for Patient Data

The photographs the Software handles are your patients' personal data. Clinical facial and intraoral photographs taken by a dental professional are likely to constitute special-category health data under Article 9 of the UK GDPR and EU GDPR, and their processing therefore requires an Article 9 condition (for example, the provision of healthcare or the patient's explicit consent) in addition to an Article 6 lawful basis. Because that data never leaves your Mac and we never receive it, you (the dentist or clinic) are the data controller for your patients' data. You are responsible for your own obligations to your patients under UK GDPR, the Data Protection Act 2018, and/or EU GDPR — including establishing both an Article 6 lawful basis and an Article 9 condition, obtaining any necessary consent, applying appropriate retention, and securing your Mac.

Because patient data is never transmitted to us, OrthoFrame is a local tool you operate yourself; it is not a cloud processor handling patient data on your behalf. We never receive, store, or have any access to your patients' photographs.

5.4 How OrthoFrame Helps You Meet Your Obligations

The Software includes features designed to support your data-protection responsibilities:

We strongly recommend that you also enable FileVault full-disk encryption on your Mac and maintain your own regular backups of your library.

5.5 Data We Collect Directly

We collect only: licence data (your email, licence key, and activation status) to deliver and recover your licence; support data (your email and the content of your message) when you contact us; and standard website data (IP address, browser, pages viewed) on perfectparadox.co.uk. We do not use your data for advertising, profiling, or training AI, and we never sell or rent it. 6. Payments and Billing

Licences are sold through Paddle (Paddle.com Market Ltd and Paddle Payments Ltd), acting as our Merchant of Record. The Software is a one-time purchase: you pay once, there is no recurring charge, and Paddle will never automatically bill you again. At checkout, Paddle collects your name, email, billing address and country, and payment details. We never see or store your card details. Paddle handles payment processing, VAT and other taxes, invoicing, and refunds, and shares your email, country, and order details with us so that we can deliver your licence and provide support.

Refunds: we offer a 14-day money-back guarantee, no questions asked, handled by Paddle — simply reply to your purchase receipt. Because a free, fully unlocked 14-day trial is available before any payment, you can fully evaluate the Software before buying.


7. Intellectual Property

7.1 Ownership

The Software is licensed, not sold. All rights, title, and interest in the Software — including all intellectual property rights — remain with Perfect Paradox Ltd. This EULA grants you a perpetual licence to use the Software; it does not grant you any ownership interest in it.

7.2 Your Content and Your Patients' Data

Everything you create, import, or process with the Software — including all patient photographs and your library — is yours and remains under your control. We claim no rights over your files, photographs, or output, and — because the Software runs entirely on your Mac — we never see them. See Section 5 and our Privacy Policy.

7.3 Third-Party Components

The Software may incorporate open-source components, each subject to its own licence. A list of third-party components is included with the Software (acknowledgements screen or bundled licence file). Nothing in this EULA limits your rights under those licences.


8. System Requirements, Updates, and Support

8.1 System Requirements

The Software requires macOS 14 (Sonoma) or later. We do not warrant compatibility with earlier macOS versions, beta operating systems, or unsupported hardware. System requirements for future updates may increase.

8.2 Updates

Your purchase includes one year of updates for your tier from the date of purchase. We may release updates during that period, and you may continue to run any version you have installed indefinitely thereafter. Automatic update checks are disabled by default — updates are never downloaded or installed without your action or consent. You may check for and install updates manually via the in-app updater or from https://perfectparadox.co.uk. After your one-year update period ends, the Software keeps working in full; you simply no longer receive new versions unless you choose to buy a future optional upgrade.

8.3 Support

We provide reasonable email support at info@perfectparadox.co.uk. As a small independent company, we aim to respond within 2 business days. Support covers installation, activation, and bugs in the Software; it does not include general macOS support, clinical or data-protection advice, or custom development.


9. Warranty Disclaimer — Not a Medical Device

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR OPERATE WITHOUT INTERRUPTION, OR THAT IT WILL BE COMPATIBLE WITH ALL HARDWARE OR SOFTWARE CONFIGURATIONS.

OrthoFrame is not a medical device and must not be relied upon for any clinical purpose. It performs no diagnosis, measurement, or clinical assessment. Its photo classification and sorting are productivity aids only and may misclassify images. You must verify that photographs are correctly sorted and assigned to the correct patient. All clinical responsibility — including diagnosis, treatment, record accuracy, and patient care — remains entirely with the treating clinician.

Back up your data. While the Software is designed to handle your photographs and library safely, no software is perfect, and you are responsible for maintaining backups of your important data, including patient records.

Statutory consumer rights apply only where you are acting as a consumer under applicable law; practitioners, clinics, and other purchasers acquiring the Software for the purposes of their business or profession are business customers and are not entitled to those consumer protections. If you are a consumer, this disclaimer does not affect your statutory rights (including under the Consumer Rights Act 2015, which entitles you to digital content of satisfactory quality).


10. Limitation of Liability

10.1 General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PERFECT PARADOX LTD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS EULA OR YOUR USE OF THE SOFTWARE, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, OR ANY CLINICAL, REGULATORY, OR DATA-PROTECTION CONSEQUENCE ARISING FROM YOUR USE OF THE SOFTWARE.

10.2 Aggregate Cap

OUR TOTAL AGGREGATE LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENCE TO THE SOFTWARE.

10.3 Exclusions

Nothing in this EULA excludes or limits liability for:

(a) Death or personal injury caused by negligence; (b) Fraud or fraudulent misrepresentation; (c) Any other liability that cannot be excluded or limited under the laws of Northern Ireland or the United Kingdom, including your statutory rights as a consumer.


11. Termination

11.1 By You

You may stop using the Software at any time by uninstalling it and destroying all copies. Because your licence is a perpetual offline key, there is nothing to cancel and no recurring charge to stop; see our Terms of Sale for refund terms.

11.2 By Us

We may terminate this EULA if you materially breach it (for example, by distributing licence keys or cracked copies) and fail to cure the breach within fourteen (14) days of written notice. Termination for breach does not entitle you to a refund.

11.3 Effect of Termination

Upon termination, your licence to use the Software ends and you must uninstall the Software. Your patient photographs, library, and data remain on your Mac — we have no access to them and no ability to affect them, and we never lock or delete them. Sections 5 (Privacy and Patient Data), 7 (IP), 9 (Warranty), 10 (Liability), and 12 (Governing Law) survive termination.


12. Governing Law and Jurisdiction

This EULA is governed by and construed in accordance with the laws of Northern Ireland and, where applicable, the laws of the United Kingdom. The courts of Northern Ireland have exclusive jurisdiction over disputes arising from this EULA — except that if you are a consumer, you retain any rights you have to bring proceedings in your country of residence, and nothing here affects your mandatory statutory consumer rights.


13. General

(a) Entire Agreement. This EULA, together with our Terms of Sale and Privacy Policy, is the entire agreement between you and Perfect Paradox Ltd regarding the Software. (b) Severability. If any provision is held invalid, the remainder continues in full force. (c) No Waiver. Failure to enforce any provision is not a waiver of it. (d) Export Compliance. You agree to comply with applicable export control laws.
